William D’Angelo III
William’s practice focuses on a broad spectrum of corporate finance, corporate governance and entertainment and media matters. He specializes in technology, media, digital media, hospitality and cross-border mergers & acquisitions. William has represented numerous private equity firms in their investments, sales of portfolio companies, restructurings of distressed portfolio companies and in general corporate governance matters as well as employment disputes. On the company side, William works closely with counseling emerging growth companies in initial formation, structure issues, intellectual property protection and strategy, financing, licensing and corporate governance primarily in the verticals of software, security, hardware, biotechnology, media, digital media, gaming and social media – he has represented companies in numerous financings from early stage seed through multiple late stage venture financings.
He has conducted transactions on a global basis including but not limited to China, Singapore, Malaysia, Japan, the United Kingdom, the Cayman Islands, the Isle of Man, the Island of Jersey, Germany and Italy.
Prior to One LLP, William practiced corporate finance in the Orange County and Los Angeles offices of Latham and Watkins, LLP and the Menlo Park office of Orrick, Herrington & Sutcliffe, LLP.
William has worked as a mediator and neutral for business disputes, for the California State Bar fee dispute program, and for the United States Justice Department and the Pasadena Police Department’s program to reduce racial profiling.
In addition to his work as an attorney, William has most recently been a managing director of the boutique Los Angeles based investment bank Janas Associates where he focused on technology, media, digital media, security and international transactions. He has previously been a vice president at the private equity firm Capital Insight, Inc. where he was responsible for turning around distressed portfolio companies, diligencing new investments and supervising all portfolio and fund legal matters including managing several large litigations to positive outcomes for the fund.
William is a skilled technologist and has also been the founder and principal in a technology company turnaround firm where he and his partner successfully rescued several high-technology firms from insolvency, sourced new financing, developed new products and business plans and exited the companies with intact profitable businesses. Select engagements include the web-based video conferencing and security firm World Visual Web, Inc., and Earth Search Sciences, Inc. (a public company).
William continues his personal commitment to the emerging growth community by serving on several boards of directors of growth companies including Entangled Media Corp., which is developing multi-device data synchronization software, and Smart Pro Staffing, Inc., which is developing a digital mobile based solution for temporary staff for certain industry verticals.
William is a past Adjunct Professor of Law at USC Law School where he taught for several years an advanced course on the Law and Finance of Venture Capital. He was also one of the founding Adjunct Professors in USC Law School’s new online LLM program for international students and taught the first year’s general legal topics survey course for the program. In addition, he has been a mediator trainer and examiner for the Los Angeles County Bar Association. He has guest lectured at California State University, Dominguez Hills on mediation skills.
William has devoted a considerable portion of his career to regional and national pro-bono activities. He has been a pro-bono mediator for the Los Angeles County Bar Association, Dispute Resolution Services, Inc., and was a founding member of the Mississippi Mediation Project, which was created to teach negotiation and mediation skills to rescue first responders and non-profit workers in Mississippi and Louisiana after Hurricane Katrina.
He has provided corporate governance for the Center for Justice and Accountability in San Francisco that pursues and prosecutes war criminals in the United States under civil tort claims. He has also assisted Unitus in establishing a micro-lending division in Kenya. And he has handled criminal defense cases on overflow from the Orange County Public Defender’s office.
